General Contract Terms:
Payment Terms & Processing Time effective September 15, 2024.
Processing Fee:
All future invoices will include a 3.0% processing fee to cover transaction costs.
Invoice Schedule:
Invoices will be sent out two days prior to the 1st and 15th of each month. You will have a 3-day grace period to make your payment without incurring any late fees.
Late Payments:
Payments received after the 3-day grace period will incur a $10 late fee. The late fee must be paid to continue the project. Any delays will be communicated By.LaurenSimone.
Overdue Invoices:
Any invoice that remains unpaid for two weeks will result in the cancellation of the project. All completed work and project progress will be submitted to you via email upon cancellation.
Changes and Revisions
The price at the beginning of this contract is based on the contractor's time investment, and the estimate is needed to accomplish everything the client wants to achieve with the above-listed deliverables. The L. Simone Company will allow changes to the design, such as colors, pictures,
fonts, and verbiage. Changes that require a change in business, additional pages, or updates will incur an additional fee. If you want to change our arrangement or add anything new, the contractor will provide a separate estimate for that.
Legal
The contractor does not guarantee 100% error-free work. The contractor will not be liable to the client or any third party for damages, including lost profits, lost savings, or other incidental, consequential, or special damages, even if the client advised the contractor. Any provision of this
contract shall be unlawful, void, or for any reason unenforceable. In that case, that provision shall be deemed severable from this contract and shall not affect the validity and enforceability of any remaining provisions.
We understand things happen and project delays may occur. This contract and quote associated
with this project is valid for the duration of the project and all services agreed upon will be
completed by L. Simone Company, LLC on a defined date.
Copyright
Client will own the copyright for all material created under this agreement once paid in full, and
contractor can sample and reuse only with consent from client. The client agrees to allow LSCPR
branding at the footer of the website.
As of December 2023 the following policy will be assessed to all current & new clients of by.Lauren Simone , LSC Public Relations and the L. Simone Company.
Delay and Reassessment Fee Clause
If the completion of the project is delayed for more than two (2) months beyond the originally agreed-upon date of services rendered, and such delay is due to circumstances beyond the control and without the fault of the Contractor, the Client agrees to pay a reassessment fee of $200.00 USD to begin the reworking of their project. This fee is intended to cover the costs associated with the Contractor’s need to reassess the project timeline, resources, and any potential changes in scope or market conditions. The client forfeits the termination fee and refund of agreed upon amount in the contract, one the website is more than 75% complete.
The reassessment fee will be calculated as follows:
Amount: The reassessment fee will be fixed rate will be determined by L. Simone Company, LLC at the time of the of contract.
Due Date: The fee will be invoiced immediately following the end of the two-month period and must be paid by the Client within thirty (10) days of the invoice date.
Additional Delays: If delays continue beyond the initial reassessment period, further reassessment fees may be imposed every subsequent two (2) months until the project recommences.
